These Terms of Service (“Terms”) are a contract between [LEGAL ENTITY NAME] (“HOAiAssist,” “we,” “us”) and the organization or individual that creates an account (“Customer,” “you”). By creating an account, accessing, or using HOAiAssist (the “Service”), you agree to these Terms on behalf of yourself and, if applicable, the homeowners association or management company you represent.

1. What HOAiAssist Is — and Isn't

HOAiAssist is a software tool that helps a homeowners association (HOA) board organize its governing documents and homeowner requests, and that uses an AI system to generate a preliminary, non-binding read on how a proposed project (e.g., a fence or shed) may relate to the HOA's own uploaded rules and past decisions.

HOAiAssist is not a law firm, does not provide legal advice, and its AI output is not legal, architectural, engineering, or compliance advice. Nothing generated by the Service — including any “AI Pre-Review,” status badge, citation, confidence level, or drafted email — is a determination of compliance with the HOA's governing documents, applicable law, or any building code, and none of it may be relied upon as such.

A human being makes every decision. Only a person with authority under the HOA's own governing documents (a board member, committee member, or manager using the Service) may approve, deny, or otherwise act on any application, and the Customer is solely responsible for every decision made using the Service, regardless of what the AI output said.

2. Accounts and Eligibility

  • You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity under your account.
  • An account created for an HOA is associated with that HOA's own isolated workspace. The person who creates an HOA's workspace is responsible for assigning roles (Admin, Manager, Board Member, Committee Member, Homeowner) accurately and for removing access when someone's role changes.
  • You must have actual authority to act on behalf of the HOA or organization you're signing up for.

3. Customer Content

“Customer Content” means anything you or your HOA's members upload or enter into the Service — governing documents (CC&Rs, bylaws, rules), application details, chat messages, uploaded files, board decisions, comments, and the like.

  • You retain ownership of your Customer Content. You grant us a license to host, process, transmit, and display it solely to provide and improve the Service to you (including sending relevant excerpts to our AI provider as described in the Privacy Policy).
  • You represent that you have the right to upload the Customer Content you submit, and that doing so doesn't violate any third party's rights or any law.
  • We are not responsible for the accuracy, completeness, or currency of any governing document or other Customer Content you upload — the Service only ever reasons over what you gave it.

4. AI Features — Additional Disclaimers

This section supplements, and does not limit, the disclaimers in Section 1.

  • The Service's AI features (chat answers, “Check My Project” pre-reviews, drafted decision emails) are generated by a third-party large language model. Outputs can be incomplete, out of date, or wrong, including citing the wrong section, missing an applicable rule, or misreading a document.
  • Historical-decision comparisons are shown for context only and are never binding precedent — HOA decisions are not required to be consistent with past outcomes, and the Service does not represent that they are.
  • You are responsible for having a qualified person (board member, manager, or where appropriate an attorney) review any AI-generated content before it is relied upon or sent to a homeowner.

5. Acceptable Use

You will not, and will not permit others to:

  • Use the Service to discriminate against any homeowner or applicant on any basis prohibited by the federal Fair Housing Act or applicable state/local fair housing law;
  • Upload content you don't have the right to upload, or that infringes a third party's intellectual property or privacy rights;
  • Attempt to access another HOA's workspace or data, or circumvent the Service's access controls;
  • Use the Service to send unlawful, harassing, or deceptive communications to homeowners;
  • Reverse engineer, scrape, or resell the Service without our written consent.

6. Term, Suspension, and Termination

  • These Terms remain in effect while you have an account. Either party may terminate at any time; you remain responsible for anything that occurred before termination.
  • We may suspend or terminate an account that violates Section 5, poses a security risk, or where required by law.
  • On termination, we will make Customer Content available for export for [X days], after which it may be deleted.

7. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL AI-GENERATED OUTPUT, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY AI OUTPUT WILL BE ACCURATE OR COMPLETE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; AND (B) OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

THIS LIMITATION SPECIFICALLY APPLIES TO ANY CLAIM ARISING FROM RELIANCE ON AI-GENERATED OUTPUT, INCLUDING A DECISION MADE OR COMMUNICATION SENT BASED ON THAT OUTPUT.

9. Indemnification

You will indemnify and hold us harmless from claims arising from (a) your Customer Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) any decision your HOA makes, communication it sends, or action it takes — with or without reliance on the Service's AI output.

10. Governing Law and Disputes

These Terms are governed by the laws of [STATE], without regard to conflict of law principles.

11. Changes to These Terms

We may update these Terms from time to time. We'll notify you of material changes before they take effect. Continued use after changes take effect constitutes acceptance.
